KEY RESPONSIBILITIES

 Leadership role


Provide leadership and ensure efficient and effective management of staff and resources reporting to job holder including mentorship, coaching and training.
Liaise with the Head of Legal Services in conducting performance appraisals and ensure competency and training gaps are addressed.
Represent the Head of Legal Services in various internal or external meetings or committees when called upon.

Litigation management


Maintain and update the database of cases and management of litigation
Review progress of outstanding litigation and liaise with on appropriate strategies for cases.
Collate documents and any evidence, identify and prepare witnesses in support of Bank cases
Diarize hearing notices for pending cases, follow up and update of outcome thereof to Head of Legal Services, Debt Recovery Unit (DRU) and Branch (where applicable).
Provide support to the Debt Recovery Unit in various recovery processes including but not limited to: -
Ensure compliance by DRU team on the necessary statutory requirements and processes.
Review and issuance of statutory notices
Legal advisory of various recovery matters
Manage external counsel handling various litigation matters including is suance of instructions, timely drafting of pleadings, review of pleadings; review of advocates performance.
Issuance of Legal opinions and advisory on various litigation matters.
Negotiation of out of court settlement with external advocates.
Management of legal costs associated with litigation.
Attending Court and representing the company in legal issues when required.
Review and manage demand letters from customers or third parties


Credit Documentation and perfection of securities


Draft, review and ensure proper facility letters, Bank’s standard forms and templates, securities documentation and service level agreements and standard agreements, properly drafted and legally enforceable to ensure compliance to regulatory changes and general securitization requirements to safeguard the bank’s exposure.
To capture, register, monitor, control and report all types of collateral offered by the customers and ensure that they are properly lodged for registration.
Liaise with external legal counsel to ensure proper preparation, execution, registration and perfection of securities within the agreed TAT as per SLA.


Legal Risk Management and Advisory


Provision of sound legal advise to the business/ staff on existing or emerging laws, operational requirements.
Continually reviews, develops and refines legal policies and procedures to determine their suitability for the bank’s requirements and recommends modification and upgrading to meet the desired standards and changes in the bank’s risk profile.
Participate in drafting and review of various risk policies and procedures to comply with the bank’s strategy and objectives
Ensure any policy or identified regulatory breaches are properly authorized at the correct level
Periodically do risk review of new and existing credit products and non-credit products with inherent risks and advise the management on remedial measures.
Manage the performance and relationships of third- party legal service providers
Monitor and manage Legal and Legal Product Risks within the business
Liaise with relevant departments to ensure that where legal risks have been identified, appropriate courses of action have been taken.
Provide and interpret legal information, conduct training and disseminate appropriate legal requirements to management and staff.


Corporate Governance and Board Support


Assist in the preparation of board papers, minutes, resolutions, and statutory filings.
Maintain statutory registers including registers of members, directors, and charges.
Support the implementation of good corporate governance practices.


Bank-wide AML KYC & CFT Responsibilities


Communicating and reinforcing the AML-CTF compliance culture established by the board.
Implementing and enforcing the board-approved AML, KYC & CFT policy within the Department.

Experience


At least five (5) years extensive legal experience either from the financial services sector or banking institution with extensive exposure to litigation, debt recovery and security perfection.
Working knowledge of both the legal requirements and lending practice for financial institutions, particularly lending to the different market segments
Exposure to CBK compliance requirements will be a definite advantage.

Responsibilities


Monitor implementation of the Group’s risk policies, procedures, standards, systems and guidelines and identify gaps to be closed (30%)
In conjunction with the Group Head of Financial Risk, conduct stress tests, sensitivity analysis and scenario simulations to update the Board and EXCO on the risks that the company is facing and how to mitigate them (20%)
Monitor full compliance against established risk standards/benchmarks and regulatory requirements, including transaction monitoring, tracking risk & compliance matrix and review of reports sent to the regulator (10%)
Identify potential areas of risk and control gaps; provide guidance on how to mitigate the risks identified; conduct follow-up to ensure corrective actions are implemented (10%)

 Main Activities


Conduct identification and assessment of the risk gaps for each functional area /department of the company and recommend controls to reduce residual risk.
Conduct independent monitoring and oversight of the risk appetite limits.
In conjunction with the Group Head of Financial Risk, conduct gap analysis and stress tests for market, credit risk and liquidity risk to update the Board and EXCO on the risks that the company is running and how to mitigate them.
Prepare periodic reports to regularly update the financial and operational risk exposures and circulate them to the various Heads of Department for action.
 Review of Risk and Control Self-Assessment (RCSA), incidence reports, key risk indicators (KRIs), loss data collection, and conduct other risk analytics.
Assist in the development of the company Risk management standards reviews of all policies, policy guidelines and procedures that provide direction on processes within the company.
Assist with conducting compliance risk assessments with a focus on AML/CFT and assess AML/CFT risk from new products, delivery channels, and services and conduct annual AML/CFT risk assessment. 


Knowledge and Experience


Bachelor’s degree in actuarial science, finance, business administration or related field
Professional certifications or qualifications in Actuarial Science or Risk Management required.
A minimum of 5+ years in mid-level risk management experience in the insurance sector.

KEY RESPONSIBILITIES

Financial Reporting & Compliance:


Prepare accurate and timely financial reports (monthly, quarterly, and annual) in line with regulatory requirements and internal policies.
Ensure timely preparation of audited financial statements, finance board papers, and key reporting packs, including consolidation packs, HFM submissions, and segment reports.

Prepare annual profit commission statements and ensure proper recognition in financial records.
Monitor and track cash call collections and adherence to reinsurance credit control policies.


Financial Planning & Analysis:


Support business planning, budgeting, and forecasting by providing accurate expense data and financial insights.
Assist in monitoring and controlling expenditures by reviewing requisitions and ensuring budget adherence.
Reconcile investment portfolios against asset managers’ and custodians’ records and ensure accurate investment income postings.


Month-End Close & General Ledger Management:


Oversee month-end closure activities, ensuring adherence to reporting timelines.
Perform reconciliations of general ledger accounts, including investment-related accounts, premium receipts, and asset records.
Ensure revenue recognition is timely and accurate by reconciling premium receipts with source systems.


System Implementation & Internal Controls:


Support implementation and testing of financial systems to enhance reporting efficiency.
Maintain and update the fixed asset register, ensuring proper accounting for acquisitions, disposals, and transfers.
Ensure adherence to internal financial controls and best practices in accounting processes.


Other Duties:

Working closely with the Manager MSME Credit Analysis he /she will ensure compliance with internal credit policies & procedures and facilitate prudent management of credit risks while ensuring compliance with the CBK prudential guidelines. He /she will also ensure that all SME Credit proposals from the branches are reviewed for credit risks in accordance with internal... policies and procedures, CBK prudential guidelines and best practice .He /she shall safeguard the institution against loss by ensuring accuracy, completeness and credit worthiness of SME proposals, recommend appropriate risk mitigation mechanisms such as proper securities and their perfection, relevant sanction conditions and post disbursement follow ups.

KEY RESPONSIBILITIES.


Analyze the MSME Credit requests against all the canons of lending (Character, Capacity , Conditions  , Capital , and Collateral  ) as a basis for making approval / decline recommendations
Support credit facilities for approvals based on 1 above and ensure accuracy and compliance by relevant Head office  Credit Committees
Support Branches in packaging of facilities when required
Conduct site visits for construction to enable trach disbursement when required
Prepare draft board papers for facilities requiring approval by the Board Credit Management Committee of the board for further review by management at Credit Administration departments
Review Solve chain applications for completeness of documents and limit allocation in the platform
Follow up with the branches to ensure fulfillment of ALL sanction conditions and other covenants prior disbursement of the facilities.
Support Retail credit teams by review and approvals of Retail facilities on need basis using the canons, policy and product fact sheet(retail, Staff and OM)
Adoption of Valuation reports based on Policy discounted margins and acceptable collaterals and submission security perfection officer
Recommend policy reviews for customer service and risk management improvement based on experiences and industry trends.
Adhere to all the due diligence measures when establishing customer relationships as enshrined in the Bank's AML, KYC & CFT policies, procedures and guidelines.
Facilitate training on Credit as to when required to existing and new staff
Undertake annuals financial spreads for FIs to enable allocation of counter party treasury limits
Do any other duties that may be assigned by the Management.
The incumbent will be responsible for ensuring adherence to, implementation of, and adoption of Compliance, Anti-Money Laundering (AML), and Sanctions-related policies, procedures, and process requirements within Old Mutual and its subsidiaries. The role involves implementing policies, procedures, and controls to detect, prevent, and report... suspicious transactions while safeguarding the Old Mutual's reputation and financial integrity.


PRINCIPAL ACCOUNTABILITIES.


To assist the Old Mutual’s Accountable Person in discharging their statutory reporting obligations in terms of the Anti-Money Laundering, Anti-Terrorism and Combating Proliferation act and regulations.
Implement the Risk Management and Compliance Program, determine controls and procedures to mitigate money laundering (ML), terrorist financing (TF) and proliferation financing (PF) risks in-line with the AML/ Counter Terrorist and Proliferation Financing (CTPF) Risk Management and Compliance Programme (RMCP).
Design, implement or review existing processes regularly to identify gaps and potential inefficiencies and contribute development and implementation of new processes or working instructions
AML/CFT/CPF alerts management -Investigate and manage timeously transaction monitoring; watchlist (UN/OFAC/HMT/EU hits) or PEP alerts
