This Investment Manager role is for the H2R Development Facility, which uses a range of financial instruments and grants to invest in off-grid solar companies working to provide energy access for unelectrified households. This role will be directly involved in sourcing, evaluating, underwriting and managing private investments for off-grid solar enterprises to expand and grow in identified H2R... countries.

Responsibilities


Lead multiple transactions in parallel throughout the entire deal lifecycle, from origination to closing with a focus on financial and impact due diligence.
Conduct financial analysis and create financial models (for both debt and equity).
Write Investment Memoranda and present investment opportunities to the Investment Committee.
Monitor investment performance, including impact and financial targets (e.g. covenant compliance).


Profile


Experience with leading on investments throughout the entire deal lifecycle.
Investment structuring experience, ideally using different financial instruments to maximise impact.
Strong analytical skills and ability to build financial models for corporate finance transactions.
Around 5 years of work experience and at least 3 years of experience in finance, ideally in an investment capacity leading or supporting on debt and/or equity transactions.
Great communication skills and ability to develop relationships with internal and external stakeholders.
Experience investing or working in Sub-Saharan Africa
Experience in energy access is desired.

The Senior Finance Associate will play a key role in supporting Acumen East Africa and the Global Finance functions to provide accurate and timely accounting deliverables in the region. The role works across multiple teams, and one must have the ability to build relationships and trust by having a solutions-oriented mindset.  The role reports to the East Africa Associate Director, Finance and... Administration and collaborates with Acumen’s Controller NY on monthly financial reporting.
Specific responsibilities include but are not limited to:
Financial Accounting and Treasury accountabilities

Process all financial transactions through purchase orders in NetSuite in line with the Budgets and grant codes.
Reconcile vendor invoices and/or statements to ensure that all outstanding bills are paid regularly after goods and services are rendered. Follow-up on any outstanding issues with vendors and service providers.
Independently checks the vendor payments to ensure value for money on procurement of goods and services/contracts and assist budget owners with the review of pricing.
Ensure all payments are appropriately supported with adequate documentation, that the relevant approvals are obtained from the budget holders, and are in accordance with the approved budget levels/limits
Conduct regular reviews of cash flows and ensure that bills and invoices are paid in a timely manner.
Review employee expense reports for receipts and approval in adherence with travel policy, input in accounts payable for payment, and implement appropriate action for any outstanding balances.
Manage and maintain, an accurate and efficient month-end close process by BD 5 through NetSuite and Floqast- reconciliations, amortizations, and depreciation.
Prepare and review monthly P&L statements, Balance Sheet, Trial Balance, and Cash Flow Statements for accuracy.
Perform all the monthly overhead allocations and ensure that the fund assignments and cost centers and expenses are accurately allocated.
Prepare and book general accrual and correct journal entries, and intercompany journal entries as appropriate, and ensure that all the financial transactions are captured in the systems at all times.
Prepares monthly bank and all balance sheet account reconciliation and uploads it on G-Suite.
Prepare and maintain the Property, Plant and Equipment (PPE) schedules and reconciliations of the Fixed Asset Register in the NetSuite asset module monthly.
Conduct training sessions for new staff members regarding financial policies and procedures.
Maintain a database of all the invoices and payment vouchers both electronically and physically monthly.

Audit and Compliance.

File all the statutory deductions-NSSF,NHIF, HELB, NITA on a monthly basis
Maintains the Statutory Payment Schedules- PAYE, PENSION, NHIF, NSSF, HELB, and NITA.
Prepare and maintains reconciled Withholding VAT,Withholding Tax and VAT reports on a monthly basis aligning with KRA Itax.
Responsible for ensuring expenses charged to the AEA activities comply with Acumens policies and local regulations.
Ensures that all the applicable taxes are deducted and remitted as and when they fall due.
Prepare and provide all the required documentation schedules during the annual audit.

Administration and Fixed Assets

Maintain a database of all commercial and consultancy contracts.
Undertake an annual stock take of the AEA fixed assets and advise on the revaluation and disposal of assets.

Qualifications & Skills:

Bachelor’s degree in Accounting and ACCA or CPA (K) qualifications completed. 
Minimum 7 years’ demonstrated experience in accounting and auditing, with a minimum of 2 years leading a Finance/Accounting function of an organization
Strong command of accounting theory and practice; knowledge of NetSuite a plus
Experience in preparing for and driving audit-related deliverables
Advanced working knowledge of Microsoft Excel

Principal Areas Of Accountability

Deal Documentation & Coordination: The Legal Counsel will work closely with the AEA investing team (and other teams that invest into East Africa) to drive Acumen’s early stage equity, quasi-debt, and other investments. To the extent capacity is available, the Legal Counsel will also support investments for Acumen’s portfolio teams in other regions. The role... will assist the teams from end-to-end of an investment lifecycle: from structuring deal instruments, developing term sheets, conducting due diligence, negotiating and finalizing investment documentation, managing outside counsel, to coordinating stakeholders to closing. The role will also provide legal advice to the teams as needed during the pre- and post-investment stages, including on corporate governance and board matters, and provide learning sessions to the team from time to time.
Contract Review and Management: The role will involve grant and commercial contract drafting and review for AEA teams and, to the extent capacity is available, Acumen’s Global teams. The scope may range across charitable and commercial issues, including general contract, intellectual property, data privacy, employment, governance and formation matters. Familiarity with legal issues specific to Kenya is required; familiarity with legal issues specific to 501(c)(3) organizations (a U.S. designation) is a plus. Responsibilities may include providing learning sessions to the relevant teams from time to time.
Global Legal Operational Support: The role will involve spearheading and/or managing operational initiatives relating to legal matters, cross-functionally and cross-regionally throughout Acumen. Support may range from developing and communicating internal legal guidance, updating processes to reflect best practices under applicable laws, supporting teams with proper recordkeeping, and collaborating with the Director of Legal to create efficiency and scale within the Global Legal Team.
Compliance: The Legal Counsel, in collaboration with Acumen’s Risk and Compliance Manager, will ensure that AEA activities are in compliance with local laws and best practices, especially in regards to maintaining the legal status of Acumen’s local entities. Other responsibilities may include: navigating relevant local laws across multiple jurisdictions, keeping abreast of regulatory developments, liaising with outside counsel and memorializing guidance, rolling out compliance recommendations and advising programmatic teams accordingly, and providing learning sessions to the AEA team from time to time on regulatory and compliance matters.
Project Management: The role requires developing and implementing various projects on behalf of the AEA and Global teams, including working with colleagues across functions, self-discipline and problem solving to progress in the face of uncertainty, and creating milestones toward timely execution. An example may include strategizing on efficient investment processes, including developing templates and resources as needed in collaboration with the programmatic teams.

Qualifications And Skills

Minimum of 5 years experience practicing transactional law, in particular: (1) strong commercial/corporate law background with experience in transaction advisory work covering equity and quasi equity financing structures and (2) experience working directly with investor clients.
Fluency in English.
Familiarity with venture capital investing is a plus, as is experience in the developing world or with an impact-oriented investor.

About the Role
The Associate Director will evaluate new investment opportunities, conduct due diligence on high potential opportunities as they arise, and structure deal terms as well as manage our existing portfolio and actively drive and deliver exits from investments that have served their purpose. Identifying investment opportunities and due diligence

Identify, cultivate, and review a pipeline of companies working to solve an important problem for low-income learners. Evaluate their model and market opportunity.
Conducting due diligence and investment analysis, including financial modeling, valuation review, and structuring.
Prepare and present investment documentation for Acumen East Africa’s Investment Committee
